(“the Club”)

1.         Definitions and Interpretation

1.1 Definitions

In these Terms and Conditions (“Terms”), the following words have the following meanings:

“Club” means BMC Mini Club Ltd (company no. 17094293) trading as British Mini Club.

“Conditions/Terms” means these terms and conditions (including any policies or documents expressly incorporated by reference).

“Event Visitor” means any individual other than a Member attending an Event with a Ticket.

“Member” means any individual whose membership application has been accepted and activated by the Club.

“Membership” means the annual membership of the Club and any associated membership services/benefits offered by the Club from time to time.

“Fee” means the annual membership fee payable for Membership, as determined by the Club from time to time.

“Website” means the Club’s website and any related pages, portals or online services operated by or on behalf of the Club.

“Event” means any organised activity/event hosted or arranged by the Club (including social meets, drives, tours, shows and charity events).

“Ticket” means a ticket (digital or physical) issued for entry to an Event, whether purchased directly from the Club or via a ticketing provider.

“Trader/Exhibitor” means any person or business that attends an Event to trade or exhibit.

“User Content” means any material a user submits to the Website (including text, images, audio, video or audiovisual material).

“Force Majeure Event” means an event, circumstance or cause beyond a party’s reasonable control.

“Booking Order” means any booking confirmation, order, invoice, email confirmation or other document confirming an Event booking, Ticket purchase, Trader/Exhibitor pitch, or other paid Club service (where applicable).

1.2      Interpretation

(a)       Headings are for convenience only and do not affect interpretation.

(b)       Words in the singular include the plural and vice versa.

(c)       References to “including” are without limitation.

(d)       If there is any conflict between these Terms and any additional Event or venue rules, the Event/venue rules apply to the extent necessary for safe and lawful operation of that Event.

2.         Acceptance of Terms

2.1      These Terms govern (a) Membership, (b) participation in Club activities and Events, (c) Traders/Exhibitors (d) Event Visitors and (e) use of the Website.

2.2      By applying for or maintaining Membership, attending Events as a Trader / Exhibitor or Event Visitor, purchasing Tickets, or accessing/using the Website, you agree to comply with and be bound by these Terms.

2.3      If you do not agree with any part of these Terms, you must not use the Website and should not apply for Membership or purchase Tickets.

3.         Membership Eligibility and Applications

3.1      Membership is open to individuals aged 18 or over.

3.2      The Club reserves the right to approve or decline any application at its discretion/absolute discretion.

3.3      An application for Membership will require your full name, email address, mailing/postal address and phone number.

3.4      You must ensure application details are accurate and kept up to date.

3.5      The Club may refuse, suspend, or terminate Membership for breach of these Terms, including inappropriate behaviour.

4.         Membership Term, Renewal and Activation

4.1      Membership is annual and is activated only once payment has been received and processed.

4.2      The Club may send a renewal reminder when renewal is due, but you remain responsible for renewing on time (if you wish to continue).

4.3      The Club may change or withdraw Membership services/benefits or modify the way they are delivered, provided it acts reasonably and in accordance with these Terms.

5.         Membership Fees, Payments and Price Changes

5.1      All Members must pay an annual Fee, the amount of which will be determined by the Club and may be subject to change.

5.2      The Fee may be paid by PayPal, debit/credit card, and direct debit.

5.3      If payment fails, is reversed, or is disputed/charged back, the Club may suspend or terminate Membership (and/or cancel associated benefits) until the matter is resolved.

5.4      Where Fees change, the revised Fee will apply from the next renewal/payment date unless the Club states otherwise.

6.         Membership Refunds, Returns and Cancellation

Core position (membership fees):

6.1      The Fee is nonrefundable once payment has been received and Membership has been activated, subject to clauses 6.2–6.7.

Discretionary exceptions (membership fees):

6.2      Exceptions may be considered at the sole discretion of the Club in exceptional circumstances, including: duplicate payments; administrative errors; inability to provide core membership services.

6.3      Where a refund is granted: it may be full or partial; administrative/processing fees may be deducted; and refunds will be issued via the original payment method where possible.

6.4      No refunds will be provided for: change of mind; participation in Club activities or Events; cancellation or rescheduling of Events; or personal circumstances preventing attendance.

Welcome pack return policy (if issued):

6.5      If you are not totally satisfied with your membership welcome pack and any aspect of the services offered, you may cancel by returning the complete welcome pack and membership card with reasons for cancellation within 14 days from the date of application.

6.6      If clause 6.5 applies, the Club may process any applicable refund in line with these Terms and using the original payment method where possible.

Memberinitiated cancellation (ongoing):

6.7      A Member may cancel Membership at any time by providing written notice to the Club. Unless otherwise agreed in writing, a minimum period of 30 days is required for cancellation to take effect from the date notice is received. Notice must be submitted via email to the contact details provided by the Club and is deemed received on the date it is acknowledged by the Club. Fees paid in advance are nonrefundable.

7.         Membership Pack Delivery (if issued)

7.1      Please allow up to 10-14 working days in the UK and up to 14 days outside the UK for the membership card and welcome pack to be delivered.

8.         Code of Conduct and Member Behaviour

8.1      Members are expected to act respectfully toward fellow members and the public, and comply with all applicable laws, and represent the Club positively at all times.

8.2      The Club reserves the right to immediately suspend or terminate Membership for inappropriate behaviour (including at Events) and/or breach of these Terms.

9.         Organised Events and Activities

9.1      The Club may arrange and host Events including social meetups, group drives/road trips/tours, car shows/exhibitions/displays, and charity events/fundraising activities.

9.2      Tickets must be purchased for attendance at an organised Event where applicable. Ticket price will be determined by the Club and may change without notice.

10.      Safeguarding 

10.1    The Club is committed to promoting a safe environment for Members and Event Visitor and others attending Events, in accordance with applicable laws, venue rules and any requirements imposed by insurers.

10.2    Membership does not include supervision of children or vulnerable adults. Any Member who brings a child or vulnerable adult to an Event remains solely responsible for their supervision, conduct and welfare at all times. Any person under the age of 18 must be accompanied and supervised at all times by a responsible adult. The Club does not accept responsibility for the supervision, care or welfare of children or vulnerable adults attending Events.

10.3    Members and Event Visitor must comply with all safety instructions, codes of conduct and venue rules notified by the Club, Event organisers or venue representatives.

10.4    The Club reserves the right to suspend or terminate Membership and/or refuse entry to, or remove, a Member from an Event where it reasonably considers such action necessary to comply with venue rules, insurance requirements, or to protect the safety or wellbeing of any person.

11.      Accessibility and Disability 

11.1    The Club will consider reasonable adjustments for Members in accordance with the Equality Act 2010, subject to venue limitations, safety considerations and insurer requirements.

11.2    Members and Event Visitor with accessibility requirements are encouraged to notify the Club in advance so that reasonable adjustments may be assessed where practicable.

11.3    The Club does not warrant that all Events, venues or activities will be fully accessible and shall not be liable where reasonable adjustments cannot be implemented due to venue design, safety constraints or operational factors outside the Club’s control.

12.      Tickets: General Rules, Loss, Alteration and Age Restrictions

12.1    Purchase of Tickets constitutes acceptance of these Terms (and any Eventspecific terms).

12.2    Tickets must not be altered or defaced; altered/defaced Tickets may result in refusal of entry.

12.3    The Club is not responsible for Tickets that are lost, stolen, destroyed, or damaged; no duplicate Tickets will be issued and a replacement Ticket must be purchased (where available).

12.4    Anyone under the age of 16 must be accompanied by an adult aged 18 or over; the Club reserves the right to request proof of age.

13.      Event Changes, Postponement, Rescheduling and Cancellation

13.1    The Club reserves the right to cancel, postpone, or reschedule any Event due to circumstances including (without limitation) weather conditions, safety concerns, insufficient attendance, or factors beyond the Club’s control.

13.2    Members/ticket holders will be notified of cancellations or changes as soon as reasonably practicable.

13.3    Where an Event is postponed/rescheduled, Tickets remain valid for the new date and ticket holders who are unable or unwilling to attend will not be entitled to a refund.

13.4    The Club shall not be liable for costs incurred due to Event cancellation or rescheduling (including travel, accommodation, or other expenses).

13.5    Where an Event is rescheduled, members may transfer participation to the new date where applicable.

14.      Ticket Refunds (Events)

14.1    Tickets are nonrefundable once sold except as set out below and/or where required by law.

Cancelled Events:

14.2    If a scheduled Event is cancelled, ticket holders shall be entitled to either:

(a)       transfer Tickets to a future Event (where offered by the Club); or

(b)       request a refund of the ticket price paid less an administration charge equal to 25% of the value of each Ticket, provided the unused Ticket is returned and the refund request is made within 7 days of the cancellation announcement/date.

14.3    No refunds will be made after the expiry of the 7day period.

14.4    Refunds shall be processed using the original method of payment within a reasonable period of time.

14.5    This refund clause is subject to any additional terms and conditions imposed by the ticketing provider or venue.

15.      Event Entry Rules and OnSite Conduct

15.1    Entry is only permitted during official opening times.

15.2    The Club reserves the right to refuse entry or remove individuals for dangerous behaviour, abuse or violence, or other conduct the Club reasonably considers unsafe or inappropriate.

15.3    Members, Traders and Exhibitors must follow all instructions provided by organisers or marshals.

16.      Safety Rules (Vehicles and Prohibited Items)

16.1    Vehicles must be roadworthy, taxed and insured where applicable, and all road traffic laws and local regulations must be followed.

16.2    A 5mph speed limit must be adhered to within venues. Anyone found speeding or driving dangerously may be expelled immediately and may be banned from future Events.

16.3    No vehicle movement is allowed within the main show area (and no vehicle movement in main areas during restricted hours where applicable).

16.4    Fireworks and Chinese lanterns are prohibited; motorised/electric scooters, skateboards and bikes are forbidden; open fires and BBQs are not permitted at any venue.

16.5    The Club and venues are not responsible for lost, stolen or damaged property.

16.6    Venues must be kept tidy: waste bins must be used and large items must be taken away.

17.      Traders and Exhibitors

17.1    Traders and Exhibitors must comply with these Terms and any Event/venue rules, including that there must be no vehicle movement in the main trade areas at an Event.

17.2    Traders and Exhibitors must produce to the Club (upon request and/or by any deadline the Club specifies):

(a)       Public Liability Insurance for not less than £5,000.000.00(Five Million Pounds);

(b)       a Health and Safety Risk Assessment; and

(c)        evidence of sufficient fire protection and fire extinguishers / suitable fire safety equipment.

17.3    The sale of food and drink is strictly prohibited unless the Club expressly agrees otherwise in writing.

17.4    All waste must be collected and removed; pitches must be left clean and tidy.

17.5    The Club reserves the right to refuse participation in future Events to any Trader/Exhibitor who does not comply with these requirements.

18.      Show Entry and External/ThirdParty Events

18.1    The Club may organise group entries to thirdparty shows, exhibitions or events.

18.2    Entry may be subject to additional fees set by the thirdparty organiser.

18.3    Members and Event Visitors are responsible for completing required registrations and providing accurate information.

18.4    The Club is not responsible for acceptance, rejection, or conditions imposed by thirdparty organisers; Members and Event Visitors must comply with the organiser’s rules.

18.5    Unless otherwise stated, costs associated with thirdparty events (including travel/accommodation) remain the Member’s responsibility.

19.      Risk, Responsibility and Insurance

19.1    All Members and Event Visitors participate in Events at their own risk.

19.2    Members and Event Visitors are solely responsible for their own actions and those of any passengers they bring.

19.3    To the fullest extent permitted by law, the Club, its organisers and representatives are not responsible to any Member and or Event Visitor for personal injury/accidents, damage to vehicles/property, or loss/theft of personal belongings.

19.4    Membership does not include personal or vehicle insurance; Members and Event Visitors are responsible for ensuring appropriate cover is in place.

20.      Website Terms: Content, Accuracy and Availability

20.1    Website content is for general informational purposes only and may change without notice.

20.2    Neither the Club nor any third parties provide any warranty or guarantee as to accuracy, timeliness, performance, completeness, suitability or reliability of Website information/materials; inaccuracies and errors may occur and liability for them is excluded to the fullest extent permitted by law.

20.3    Your use of Website information/materials is entirely at your own risk; it is your responsibility to ensure services or information meet your requirements.

20.4    The Club is not liable for temporary unavailability of the Website due to technical issues beyond its control.

20.5    The Website may include links to thirdparty websites. Links are provided for convenience and do not signify endorsement; the Club is not responsible for content, policies or practices of linked sites.

21.      Website Terms: Intellectual Property and Acceptable Use

21.1    The Website contains material owned by or licensed to the Club (including design, layout, look, appearance, graphics, text, logos and software). Reproduction is prohibited except in accordance with any copyright notice and/or with written permission.

21.2    All trade marks reproduced on the Website which are not the property of, or licensed to, the operator are acknowledged on the Website.

21.3    Unauthorised use of the Website may give rise to a claim for damages and/or be a criminal offence.

22.      Website Accounts, Passwords and Security

22.1    If you are provided with a user identification code, password or any information as part of the Club’s security procedures, you must treat it as confidential and must not disclose it to any third party.

22.2    The Club may disable any user identification code/password (whether chosen by you or allocated by the Club) at any time if it reasonably believes you have failed to comply with these Terms.

22.3    You are responsible for making arrangements necessary to access the Website and for ensuring persons accessing the Website through your internet connection are aware of and comply with these Terms.

23.      User Generated Content (Website)

23.1    You grant the Club a worldwide, irrevocable, nonexclusive, royaltyfree licence to use, reproduce, adapt, publish, translate and distribute your User Content in any existing or future media, together with the right to sublicense and to bring an action for infringement.

23.2    User Content must not be illegal/unlawful, must not infringe thirdparty rights, and must not be capable of giving rise to legal action against you, the Club or a third party. You must not submit User Content that is or has been the subject of threatened or actual legal proceedings or similar complaint.

23.3    The Club reserves the right to edit or remove any material submitted to the Website, stored on its servers, hosted or published on the Website. The Club does not undertake to monitor submission or publication of User Content.

24.      Images and Media (Events)

24.1    The Club may take photographs or videos during Events. By attending, Members and Event Visitors consent to the use of such media for promotional and marketing purposes unless they opt out in writing.

25.      Data Protection and Privacy

25.1    Member information will be stored and used solely for Club administration and communication.

25.2    The Club will not sell, distribute or lease personal information to third parties unless required by law to do so.

25.3    The Club may use personal information to send promotional information about its services, and Members may request correction of inaccurate/incomplete personal data.

25.4    The Club will not share personal data with third parties without consent unless required by law.

25.5    Where a Privacy Policy is published, it forms part of these Terms by reference and explains how personal data is handled.

26.      Liability (General)

26.1    To the fullest extent permitted by law, the Club disclaims/excludes liability for any loss, damage, or injury incurred during Club activities, Events, or through use of its Website.

26.2    The Club shall not be liable for indirect or consequential loss arising from Website use (including loss of data or profits).

26.3    Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

27.      Complaints and Contact

27.1    Complaints and queries should be submitted in writing to the Club using the contact details provided by the Club.

27.2    The Club will endeavour to respond within a reasonable period of time.

28.      Amendments and Updates

28.1    The Club may update these Terms and Conditions from time to time. Continued Membership, attendance at Events, or use of the Website indicates acceptance of any updates.

28.2    Members will be notified of significant/material changes where reasonably practicable.

29.      Force Majeure

29.1    Neither party shall be in breach of these Terms nor liable for delay/failure in performing obligations to the extent caused by a Force Majeure Event.

29.2    The affected party shall notify the other in writing as soon as possible of the start date, likely duration and effect, and shall use reasonable endeavours to mitigate the effect.

29.3    The unaffected party’s obligations are suspended and time for performance extended to the same extent.

29.4    The unaffected party has the right to terminate by giving written notice to the affected party.

30.      No Partnership or Agency

30.1    Nothing in these Terms is intended to, or shall be deemed to, establish any partnership or joint venture, constitute any party the agent of another, or authorise any party to make commitments on behalf of another.

31.      Confidentiality

31.1    Each party undertakes not to disclose confidential information concerning the business, affairs, customers, clients or suppliers of the other party, except as permitted by this clause.

31.2    Confidentiality obligations apply during Membership/contractual relationship and for two years after termination/expiry.

31.3    Disclosure is permitted to employees/officers/representatives/advisers who need to know for performance, provided they comply, and where required by law/court/regulator.

31.4    Neither party shall use the other’s confidential information for any purpose other than performing obligations under these Terms.

32.      Entire Agreement

32.1    These Terms constitute the entire agreement and supersede all previous agreements, promises, assurances, warranties, representations and understandings relating to their subject matter.

32.2    Each party acknowledges it does not rely on any statement not set out in these Terms and shall have no remedies in respect of such statements.

33.      Variation and Waiver

33.1    No variation is effective unless in writing and (where applicable) signed by authorised representatives.

33.2    A waiver is only effective if given in writing and is not a waiver of subsequent breaches. Failure/delay to exercise a right is not a waiver.

34.      Severance

34.1    If any provision is invalid, illegal or unenforceable, it is deemed deleted and the remainder remains valid and enforceable. The parties shall negotiate in good faith a replacement provision achieving the intended commercial result.

35.      Notices

35.1    Any notice or communication given under or in connection with these Terms shall be in writing and delivered by hand or prepaid firstclass post/next working day delivery to the registered office/principal place of business, or sent by email to the address specified n these Terms or other contact details provided by the Club.

35.2    Notices are deemed received:

(a)       if delivered by hand, when left at the proper address;

(b)       if posted, at 9.00am on the second Business Day after posting; or

(c)        if sent by email, at transmission time (or when business hours resume if sent outside business hours).

35.3    This clause does not apply to service of proceedings.

36.      Third Party Rights

36.1    Unless expressly stated otherwise, these Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.

36.2    The rights of the parties to rescind or vary these Terms are not subject to the consent of any other person.

37.      Assignment

37.1    Members may not transfer or assign Membership.

37.2   Members and Event Visitors   may not transfer or assign Ticket rights without the Club’s prior written consent.

37.2    The Club may assign or transfer its rights/obligations where reasonably necessary for administration, delivery of services, or restructuring

38.      Governing Law and Jurisdiction

38.1    These Terms and any dispute or claim (including noncontractual disputes/claims) arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales.

38.2    The courts of England and Wales shall have exclusive jurisdiction.

39.      Acknowledgement

39.1    By joining the Club and/or using the Website, you acknowledge that you have read, understood and agree to these Terms, including the refund policy and website disclaimer.
